IDAHO ENLISTED ASSOCIATION
BY-LAWS
1 December 2010
ARTICLE I
NAME AND LOCATION
Section 1. This Association shall be known as "The Enlisted Association of the Idaho National Guard."
Section 2. The Association headquarters shall be in
Idaho and its activities shall not be confined, other than
by State or Federal Laws.
ARTICLE II
PURPOSES AND SCOPE
The purpose of the Association shall be:
The sole purpose of the Idaho Enlisted Association is to provide a voice on Capitol Hill and in the Idaho State legislature to all enlisted members of the Idaho National Guard.
ARTICLE III
MEMBERSHIP
Section 1. Membership in the Association shall consist of the following classes:
a. Active Member:
1. All enlisted members to The Idaho National Guard, active and retired, are eligible for
Active Membership in the Association.
2. Active members are authorized to hold office and vote upon all matters before meetings of the Association, with the exception of the President of the Association. In the event of a tie vote the President may cast his vote to break the tie.
b. Life Member:
1. All enlisted members to The Idaho National Guard, active and retired, are eligible for
Life membership in the Association by paying one time membership fee based on Idaho's and National's schedule.
2. Life members are authorized to hold office and vote upon all matters before
meetings of the Association, with the exception of the President of the Association. In the event of a tie vote the President may cast his vote to break the tie.
c. Associate Member:
1. All persons not otherwise qualified for membership may be issued an Associate
Membership.
2. Applications for Associate Membership shall be made to the Secretary and all such
applications must be approved by a majority vote (51%) of the Executive Board.
3. Associate Membership may not be an accredited State delegate, hold office, nor vote
on matters before meetings of the Association.
d. Honorary Member:
1. Honorary Membership may be granted to any person, whether connected with the
military service or not, who has become conspicuous by reason of their efforts in
furthering the interest of the National Guard, Militia, or National Defense.
2. Application for Honorary Membership may be proposed by an Active or Life Member
or by the Executive Board to the Secretary. All such applications must be approved by the majority votes of the Active Members present at a General Meeting.
3. Honorary members may not vote on matters before meetings of the Association.
Section 2. All Active, Life, Associated and Honorary Members of the Association are entitled:
a. To have the right to admission.
b. To serve on committees.
c. To the privileges of the floor.
d. To the privilege of debate at all meetings of the Association.
Section 3. All motions dealing with general matters of the organization before the Association shall require
a majority (51%) vote of the Active or Life Members present or Active or Life Members with proxies. All motions to amend the constitution or by-laws shall require a two-thirds vote of the Active Members or Active Members with proxies present. Voting on matters before the Executive board shall require a majority (51%) vote of the Board Members present except as otherwise specified.
ARTICLE IV
OFFICERS
Section 1. The Officers of the Association shall be as follows:
a. President
b. Vice President
c. Immediate Past President
d. Secretary
e. Treasurer
f. Regional Representatives
Section 2. The Duties of the Officers of the Association shall be as follows:
a. The President shall:
1. Chair all meetings and direct the affairs of the Association.
2. Appoint a Board of Directors consisting of no fewer than three Army Guard Members,
three Air Guard Members and the immediate Past President of the Association.
3. Appoint an individual or committee to constitute or carry out the business of the
Association except where otherwise prescribed.
4. Fill vacancies that occur during the President's term of office by appointing new
Officers, Regional Representatives, and Boards of Director Members, Special
Committee Members, or Standing Committee Members. Confirmation by the Executive Board of sure appointments shall be required by a majority (51%) vote.
b. The Vice President shall:
1. Perform duties of the President in the absence of the President and perform such other
duties as may be assigned by the President.
2. Be Administrative Representative to the insurance program.
c. The Immediate Past President shall:
1. Serve as a member of the Board of Directors.
2. Not succeed to any other office by reason of absence, incapacity, death, resignation or
removal from office of such other Officer.
d. The Secretary shall:
1. Keep a record of all meetings of the Association and the Executive Board.
2. Conduct the correspondence of the Association ant the Executive Board.
3. Issue notification of all meetings of the Association and the Executive Board.
4. Perform all other duties that usually pertain to the office of the Secretary.
5. Send written notice at least thirty days before the General Meeting or Special Meeting.
e. The Treasurer shall:
1. Take charge of the funds/revenue of the Association to keep an accurate account
thereof and to report to the Association at its meetings.
2. Pay all bills approved by the Executive Board or Association assembly.
f. The Regional Representative shall:
1. Provide liaison between the Association and the Members in the respective area.
2. Serve as a Member of the Executive Board.
Section 3. The President, Vice President, Secretary and Treasurer of the Association shall be elected
biannually, by a majority (51%) vote. At least five Regional Representatives will be appointed biannually, by the current President for their respective regions. Those present including proxies shall constitute a quorum at and ID-EANGUS membership meeting for the purpose of transacting business, provided that sufficient previous notice has been provided.
Section 4. The President, Vice President, Secretary, Treasurer, and Regional Representatives of the
Association shall be installed in office on the day of the Annual Meeting. The immediate Past President shall be installed in office on the day the successor in the office of President is installed in that office.
Section 5. An officer may be removed from office by a two thirds vote of the Executive Board or by a two
thirds vote of the delegates at a special or Annual Meeting for sufficient causes.
Section 6. The affairs of the Association shall be assisted through the Executive Board by a Board of
Directors.
a. The Executive Board shall be the Offices of the Association, with the exception of the
immediate Past President.
b. The Executive Board shall meet a minimum of one time each quarter. Each Executive Board Member must attend a minimum of two Executive Board Meetings within a twelve month period to remain a member of the Executive Board.
c. The Board of Directors shall consist of no fewer than two Army Guard Members, two Air Guard Members, and the immediate Past President of the Association.
d. The Board of Directors shall:
1. Assist and advise the Executive Board.
2. Have no vote on matters before the Executive Board.
ARTICLE V
COMMITTEE
Committees shall be established to constitute or carry out business of the Association. Each
Committee shall consist of a Chairman and an additional number of Active or Life Members
appointed at the discretion of the President of the Association.

ARTICLE VI
REVENUE
The Association may raise revenue, collect revenue, hold revenue in security and distribute revenue only when the intent is beneficial to the purposes and objectives of the Association.
a. The fiscal year of the Association shall begin on October 1, and all accounts shall be closed and
balanced to and including the last day of the fiscal year.
b. Active and Associate membership dues are due and payable annually on an anniversary year basis, based on the member's rank E‑1 to E4, $10.00; E‑5 to E‑6, $15.00; E‑7 to E‑9, $24.00. ID-EANGUS will forward $9.00 per Active and Associate member to the EANGUS.
c. The Executive Board shall not spend revenue/funds in excess of $200.00 without unanimous
consent of the Executive Board Members.
d. The Executive Board shall not spend revenue/funds in excess of $400.00 for postage and
materials without unanimous consent of the Executive Board Members.
ARTICLE VII
MEETINGS
Section 1. For the Annual or Special Meetings of the Association, thirty days notice shall be given to all
Members.
Section 2. Special Meetings of the Executive Board may be called at any time by order of the President or
upon resolution of the Executive Board, provided the purpose of such meeting is set forth in the call.
a. The order of business at Annual and Special Meetings of the Association shall be as follows:
1. Calling the Meeting to order
2. Reading of the minutes of last meeting
3. Reports of Standing Committees
4. Reports of Executive Committees
5. Report of Officers (at Annual Meeting)
6. Reports of Special Committees
7. Unfinished/old Business
8. New Business
9. Election of Officers
10. Adjournment
ARTICLE VIII
DISPOSITION OF PROPERTY IN EVENT OF LIQUIDATION
The property of the Association is irrevocably dedicated to benefit the National Guard of the State of Idaho and in the event of liquidation, dissolution or abandonment of the Association, will not inure to the benefit of any private individual or person, but shall be distributed to a scholarship fund, organized and operated exclusively for the benefit of Idaho National Guard men and woman.
ARTICLE IX
AMENDMENTS
Section 1. This Constitution may be amended by a two-thirds vote of the Members or Members with
proxies present at a Regular or Special Meeting of the Association and conditioned upon the proposed amendment or a resume thereof, with the time and place of the Meeting, having been communicated to the Regional Areas of the Association at least thirty days before the Meeting at which the action thereon is to be taken. Those present including proxies shall constitute a quorum at and ID-EANGUS membership meeting for the purpose of transacting business, provided that sufficient previous notice has been provided.
Section 2. The By Laws may be amended by a majority (51%) vote of the Members or Members with
proxies present for voting at a Regular or Special Meeting of the Association and conditioned upon the proposed amendment or a resume thereof, with time and place of the Meeting, having been communicated to the Regional Areas of the Association at least thirty days before the Meeting at which the action thereon is to be taken. Those present including proxies shall constitute a quorum at and ID-EANGUS membership meeting for the purpose of transacting business, provided that sufficient previous notice has been provided.
